These Terms of Service apply to any use of Bot4Pro’s Service(s). You shall comply with and be bound by (and, if you are subscribing, purchasing or using our Service(s) as a Firm, procure that users in your Firm also comply with and be bound by) such terms. Our Service(s) will evolve over time. We reserve the right to amend these Terms of Service at any time, effective upon the posting of the amended terms on our Electronic Platform. By continuing to use our Service(s) after the posting of the amended terms, the amended terms will apply to you (and, if you are subscribing, purchasing or using our Service(s) as a Firm, users in your Firm).
1. For the purposes of these Terms of Service:
“Bot4Pro”, “we”, “us” or “our” means Bot4Pro Limited, a company incorporated under the laws of Hong Kong;
“Content” means information, data, files, databases, text, images, videos, sounds, models, weights, and/or other material;
“Electronic Platform” means: (a) the Internet site at the domain https://bot4pro.ai, https://lex4lex.ai, https://listcochat.ai or any other website operated by or on behalf of Bot4Pro; or (b) any digital interface or system accessible through a mobile app or other electronic means operated by or on behalf of Bot4Pro;
“Firm” means any sole proprietorship, company, corporation, partnership, limited liability partnership, joint venture, trust, association, non-governmental organization (NGO), or other legal entity or organization carrying out activities, whether commercial or non-commercial, and whether incorporated or unincorporated;
“IP Right” means any patent, trade mark, service mark, copyright, moral right, right in a design, know-how and any other intellectual property rights, anywhere in the world whether or not registered;
“Notice” notice to you by electronic mail;
“person” includes any individual or Firm;
“Related Party” means any of the employees, directors, officers, founder, affiliates, subsidiaries, developers and service providers (including but not limited to cloud service providers) of Bot4Pro;
“Service” means any product or service (as may be changed or updated from time to time) provided by us, in the form of computer program or otherwise, and whether through our Electronic Platform, including but not limited to our AI-powered products named “Lex4Lex” and “ListcoChat”;
“you” or “your” means any person authorized by us to use the Service(s), whether as an expert in our network or subscriber to our Service(s) or otherwise, whether a Firm or individual, and (for an user subscribing, purchasing or using our Service(s) as a Firm) includes such Firm and the users in such Firm; and
Unless the context otherwise requires, words importing the singular include the plural and the plural includes the singular; and words importing gender include all genders.
2. Where we grant you the right to access and use our Service(s), such right shall be non-transferable and you shall not permit local area network or wide area network distribution of the Services or Content provided by the Service(s). You shall not share your account with any person save with our express written consent.
3. We may, at our absolute discretion and at any time, add, amend, alter or remove, without prior notice to you the presentation, substance, functionality of any Service(s).
4. You must only use our Service(s) for your own lawful business purposes, in accordance with these Terms of Service. You acknowledge and agree that, to the extent permitted by law, any statutory consumer guarantees or legislation intended to protect non-business consumers in any jurisdiction does not apply to the supply of our Service(s), Electronic Platform or these Terms of Service.
5. You agree and acknowledge as follows:
(a) any and all Content you upload or otherwise transmit through the Service(s) to the Electronic Platform or any system maintained by Bot4Pro and/or its Related Party shall be treated as "Member Content". In using the Service(s), you may provide input (“Input”), and receive generated Content from the AI models and applications based on the Input (“Output”). Input and Output are also included in Member Content. Any processing of Member Content (including personal data therein) submitted through the Service(s) by Bot4Pro or its Related Party is for your purposes and on your behalf. You remain responsible for complying with applicable data protection requirements in relation to such Member Content.
(b) any and all IP Rights owned by or licenced to Bot4Pro which are or have been developed, conceived, originated, created or generated independently of these Terms of Service (or prior to your subscription, purchase or use of the Service(s)), whether prior to the effective date of these Terms of Service or otherwise ("Bot4Pro Base IPR"), are and shall remain the sole and proprietary property of Bot4Pro or the relevant third-party licensor(s) (as the case may be), including without limitation any and all IP Rights in relation to the Service(s) and any Content related thereto and/or associated therewith and the selection and arrangement thereof.
(c) you shall not: (i) delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials available through the Service(s); (ii) modify, enhance, remove, interfere with, or otherwise alter in any way the technology underlying the Service(s), any digital rights management mechanism, device, or other protection or access control measure incorporated into the Service(s), any graphical user interface, any advertising or advertising features, copyright notices, or trademarks; (iii) reverse engineer, disassemble, or decompile any part or component of the Service(s); (iv) create, recreate, distribute, or advertise an index of any significant portion of the Content posted on the Service(s) unless expressly authorised by us; and/or (v) resell the Service(s) or AI models provided through the Service(s), or use the Service(s), AI models provided through the Service(s) (including any Output of such AI models) to train or develop products or services that compete with Bot4Pro’s and/or its Related Party’s products and services, unless expressly authorised by us.
(d) Bot4Pro does not claim ownership of any IP Rights in the Output. You may use the Input and Output, provided your use complies with applicable laws, these Terms of Service and our rules. For the avoidance of any doubts, if the Output contains any Bot4Pro Base IPR, these rights remain vested in Bot4Pro or or the relevant third-party licensor(s) (as the case may be). You shall ensure your provision and use of the Input and Output, and the processing of the Member Content for your purposes and on your behalf by Bot4Pro or its Related Party does not infringe any rights or interests of others, and you shall remain solely responsible for any disputes (including IP Right disputes) arising from your use of the Input or Output.
(e) Bot4Pro will not use your Member Content to develop or improve our AI models, unless such intention is specified on our Electronic Platform or you separately provide your consent. However, Bot4Pro may use aggregated or anonymized data derived from your use of the Service(s) for legitimate business purposes, provided that such data does not identify you and the sensitive information in your Member Content.
(f) The Service(s) may be hosted on and dependent upon the infrastructure of third party cloud service provider(s) (e.g. Alibaba Cloud) and may include data, models, applications or software components provided by a third party (collectively “Third-Party Service”) that are subject to separate license terms, in which case those license terms will also govern your usage of such data, models, applications or software components. You should review, accept and abide by the applicable Third-party Service or licensing terms, policies and/or agreements (“Third-party Terms”), including but not limited to the Alibaba Cloud International Website Product Terms of Service and other documents available on: Alibaba Cloud International Website Product Terms of Service - Legal - Alibaba Cloud Documentation Center. We do not guarantee the currency and accuracy of the link displayed herein, and you should locate and review the most up-to-date Third-party Terms from time to time. Bot4Pro does not control or develop the Third-party Services and makes no representations or warranties about their accuracy, reliability, behavior or performance. You acknowledge and understand that due to the constantly evolving nature of AI related services, we reserve the right to suspend or terminate the provision of, or delist any Third-party Services at our sole and absolute discretions without prior notice to you.
(g) you acknowledge and agree that:
(i) the Service(s) may be subject to availability and location serviceability from time to time (including without limitation network, traffic, storage, and/or other limitations as Bot4Pro may impose from time to time);
(ii) Bot4Pro may, at its option and in its sole and absolute discretion: suspend, restrict, or terminate your use and/or access to any or all of the Service(s) (and/or remove any content stored on Bot4Pro's systems associated with your use of the Service(s)) if: (i) required under applicable law; (ii) your use of the Service(s) is subject to any pending litigation, investigation, or government proceeding and/or Bot4Pro, in its sole and absolute discretion, perceives a heightened risk of legal or regulatory non-compliance associated with your activity; (iii) any of Bot4Pro's service providers are unable to support your use thereof; (iv) you take any action that Bot4Pro deems in its sole and absolute discretion as circumventing controls, or abusing promotions which Bot4Pro may offer from time to time; and/or (v) you breach any provision under these Terms of Service (or Bot4Pro in its sole and absolute discretion determines that you are likely to do so);
(iii) It is your sole responsibility to take appropriate measures to backup copies of data that you require. Your use of the Service(s) may result in data provided to or stored by Bot4Pro being removed or rendered inaccessible from time to time, even if not marked for deletion or destruction by you. You shall at all times implement the appropriate redundancy or backup measures for any and all data and information you store in such servers;
(iv) due to the inherent nature of AI processing and machine learning algorithms, the Output may: (i) contain inappropriate or unintended elements; (ii) not be unique across customers; and (iii) may be identical or similar across customers. Responses that are requested by and generated for other users are not considered your Output. Our assignment of Output above does not extend to other users’ Output. You shall be solely responsible for selecting and/or obtaining suitable data, models and/or parameters as appropriate for your use of the Service(s);
(v) all Content provided on or through the Service(s): (i) shall not constitute (nor be treated as), nor be a substitute for, any professional, medical, legal, reliable, or accurate advice or information; (ii) shall not be used as a basis for making any professional, medical, legal, business or financial decisions without proper human and professional review, oversight and verification; and (iii) are not intended for use in, or in association with, any regulated uses, including without limitation in any dangerous or high risk environments or in relation to any critical systems that may lead to serious bodily injury or death or cause environmental, property or other damage. The Output provided by the Service(s) does not represent any stance or opinion of Bot4Pro or any of our Related Parties, and should be independently evaluated as appropriate for your use case;
(vi) to the maximum extent permitted by applicable law, Bot4Pro expressly excludes any guarantee, representation, warranty, condition, term or undertaking of any kind, whether express or implied, statutory or otherwise, relating to the access to or use of the Service(s), Bot4Pro Base IPR, Input, Output, Content provided by the Service(s) or any aspect thereof, any related functionality, or any security measures, including without limitation any warranties of accuracy, completeness, suitability, appropriateness, currency, reliability, unbiasedness, consistency, interoperability, merchantability, satisfactory quality, fitness for a particular purpose, compliance with description or any requirements, specifications, parameters or criteria, compliance with third party rights, compliance with laws (including without limitation data protection or export laws) in any jurisdiction, and/or freedom from any malicious, erroneous, manipulated, inappropriate, poisoned, or harmful code or data. Bot4Pro disclaims any liabilities, losses or damages that you may suffer in connection with your use of the Service(s);
(vii) the Member Content you provide when using the Services will be transferred to, stored and processed in Hong Kong or, where applicable, other places where our cloud service provider(s) maintain facilities for the Service(s). This may be a jurisdiction different from your location, and as such, the Content may need to be transferred across borders. You agree to our processing of Member Content on your behalf in accordance with these Terms of Service, and you authorise Bot4Pro and its Related Party to carry out any such transfer, storage and processing of the Content in order to provide the Service(s); and
(viii) you shall be bound by all electronic communications, messages, documents and records generated by Bot4Pro's and its Related Party’s systems in respect of your use of the Service(s), which shall all be deemed to be valid, accurate and authentic, and final, conclusive and binding on you regardless whether such systems are situated in or outside of Hong Kong.
(h) you represent and warrant that:
(i) you have obtained all necessary rights, licences, approvals and consents to use the Service(s) for your purposes. You shall comply with applicable laws, including in each jurisdiction in which you purchase and/or use the Service(s) and bear all responsibility, liability and risk in relation to your use of the Service(s), including without limitation any Input, Output and any of your products or services which incorporate or rely on any aspect of the Service(s);
(ii) you shall not use the Service(s) to fabricate or disseminate false information or any other content prohibited under applicable laws. You shall, if required under applicable laws, conduct labelling or marking on the Outputs in a conspicuous manner, including but not limited to adding watermarks and/or attaching statements when publishing or disseminating any Outputs;
(iii) you shall be responsible for the availability, security, and compliance of any plug-ins, tools, application or software components owned or added by you when using the Service(s); and
(iv) you shall hold Bot4Pro and its Related Paries harmless from and against all liabilities, losses, damages, costs and expenses arising in connection with your breach of these Terms of Service.
6. You acknowledge and agree that our Service(s) is provided on an "as is" basis and that any use of the Service(s) is at your own risk. Our Service(s) may experience delays or interruptions from time to time due to various reasons, including but not limited to the need to update our system(s). Communications over the Internet are not secure, and information contained in our Service(s) may be intercepted, lost, destroyed or delayed. We do not accept any liability for such occurrences and do not warrant that any communication or attachments or the software will be free from viruses, worms, or other harmful components. Furthermore, we do not guarantee that the use of our Service(s) will be uninterrupted or error-free. The operation and availability of the systems used for accessing our Service(s), including telephone services, computer networks, and the Internet, can be unpredictable and may interfere with or prevent access to our Service(s).
7. Neither Bot4Pro, nor any of its Related Parties, shall be liable for any loss or damage incurred in relation to the use of our Service(s) or any failure or interruption of our Service(s) or from any other cause relating to your access to, inability to access, our Service(s) or any inaccuracy, incompleteness, omission, non-suitability or third party right infringement of our Service(s) or its Content.
8. Without prejudice to the preceding clauses, in no event shall Bot4Pro, or any of its Related Parties, be liable to you or anyone for any direct, consequential, incidental, special, or punitive damage, including any lost profits or savings, or for any third party claim of any nature whatsoever related to our Service(s) or its Content.
9. You shall pay any subscription or other fees or charges due to us as specified in any Notice or our Electronic Platform. You shall inform us within 7 days of any change in name or email address or billing information provided by you to us. We reserve the right at all times to amend any fees or introduce new fees which amendments shall be deemed to have been notified to you when they are delivered by Notice or posted on our Electronic Platform. If you continue to use our Service(s), you will be deemed to accept the amendments.
10. Without prejudice to the preceding clauses, our total liability for damages, losses and causes of action, whether in contract, tort (including negligence) or otherwise, if at all, shall in no event exceed the total amount of fees or charges paid by you to us in the previous 12 months.
11. Upon the effective date of termination of the Service(s) all licenses (if any) and other rights and privileges granted to you shall forthwith cease, and you shall not be entitled to a refund of any fees which have been paid in advance. If you prematurely terminates the Service(s) for any reason within the specified subscription period, you shall pay the remaining fee for any designated subscription period as the early termination fee.
12. You must ensure all user name(s) and password(s) required to access our Service(s) are kept secure and confidential. you must immediately notify Bot4Pro of any unauthorized use of your passwords or any other breach of security and you must take all other actions that Bot4Pro reasonably deems necessary to maintain or enhance the security of Bot4Pro’s computing systems and networks and your access to our Service(s).
13. As a condition of these Terms of Service, when accessing and using our Service(s), you must:
(a) not use, directly or indirectly our Service(s) or the Content for the purposes of training any AI model or AI-powered tool that is not operated by us;
(b) not modify, copy, adapt, reproduce, disassemble, decompile or reverse engineer any computer programs used to deliver our Service(s) or operate our Electronic Platform;
(c) not undermine the security or integrity of Bot4Pro's computing systems or networks or, where our Service(s) are hosted by a third party, that third party's computing systems and networks;
(d) not use, or misuse, our Service(s) in any way which may impair the functionality of our Service(s) or Electronic Platform, or other systems used to deliver our Service(s) or impair the ability of any other user(s) to use our Service(s) or Electronic Platform;
(e) not gain unauthorized access to any materials or any part of our servers or data areas other than those to which you have been given express permission to access or to the computer system on which our Service(s) are hosted;
(f) not transmit, or input into our Electronic Platform, any files that may damage our or any other person's computing devices or software, Content that may be offensive or in violation of any law or third party rights;
(g) not use automated systems or software to extract data from our Service(s) or Electronic Platform, whether by way of “screen scraping” or otherwise; and
(h) not attempt to do any of the above.
14. Unless required by applicable law, you agree to maintain the confidentiality of any information relating to the process, architecture, training methodology, algorithms, model structure or underlying technology of Bot4Pro’s models and systems made available in connection with the Service(s), as well as any prompts, input formats, system instructions or configuration methods provided or recommended by Bot4Pro for use with the Service(s.) This obligation shall survive the termination or expiration of these Terms of Service.
15. Bot4Pro maintains a privacy policy that sets out the parties’ obligations in respect of personal information. You shall read it at our Electronic Platform at https://bot4pro.ai and you will be taken to have read and accepted our privacy policy when you accept these Terms of Service.
16. Any notice given under these Terms of Service by either party to the other must be in writing by email and will be deemed to have been given on transmission. Notices to Bot4Pro must be sent to info@bot4pro.ai or to any other email address posted on our Electronic Platform or notified to you by Notice. Notices to you will be sent to your email address on our records for registration.
17. If any part or provision of these Terms of Service is invalid, unenforceable or in conflict with the law, that part or provision is replaced with a provision which, as far as possible, accomplishes the original purpose of that part or provision. The remainder of these Terms of Service will be binding on you and Bot4Pro.
18. These Terms of Service, together with Bot4Pro’s privacy policy and the terms of any other notices or instructions given to you under these Terms of Service, and any supplemental terms and conditions that may be posted by us on our Electronic Platform, supersede and extinguish all prior agreements, representations (whether oral or written), and understandings and constitute the entire agreement between you and Bot4Pro relating to our Service(s) and the other matters dealt with in these Terms of Service.
19. If either party waives any breach of these Terms of Service, this will not constitute a waiver of any other breach. No waiver will be effective unless made in writing.
20. The Contract (Third Party Rights) Ordinance (Chapter 623 of the Laws of Hong Kong) does not apply to the agreement constituted by these Terms of Service. Any person, other than you and Bot4Pro, may not enforce such agreement under the Contract (Third Party Rights) Ordinance.
21. These Terms of Service and matters relating to the use of our Service(s) shall be governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China (“Hong Kong”) and the parties hereby submit to the exclusive jurisdiction of the courts of Hong Kong.
22. If there is any inconsistency or ambiguity between the English version and any Chinese version, the English version shall prevail.
